The ideal candidate should have general MA and transactional experience, with a focus on MA transactions involving public companies (on the sell-side and buy-side) and related securities laws. They must have outstanding academic credentials, comparable law firm experience, and excellent written and verbal communication skills. Relevant Bar admission or eligibility to obtain admission promptly is required. Duties:Handle a variety of MA transactions involving public companies.Represent clients in both buy-side and sell-side MA transactions.Advise clients on securities laws and regulations related to MA transactions.Draft and review transactional documents, including merger agreements, stock purchase agreements, and disclosure documents.Conduct due diligence reviews for MA transactions.Assist with negotiations and closings of MA deals.Provide legal advice and guidance on complex MA and securities law issues.Interface with clients, opposing counsel, and regulatory agencies.Collaborate with partners and senior attorneys on MA matters.Stay updated on relevant laws, regulations, and industry trends. Requirements:Juris Doctor (JD) degree from an accredited law school.3-6 years of experience in MA and transactional law.Experience with MA transactions involving public companies.Outstanding academic credentials.Comparable law firm experience.Excellent written and verbal communication skills.Relevant Bar admission or eligibility to obtain admission promptly. Education:Juris Doctor (JD) degree from an accredited law school. Certifications:Relevant Bar admission or eligibility to obtain admission promptly. Skills:General MA and transactional experience.Knowledge of securities laws and regulations.Strong drafting and negotiation skills.Excellent written and verbal communication skills.Ability to manage multiple tasks and meet deadlines.Diligent, proactive, and detail-oriented approach to work.
